Так чего ж от нас хочет этот проклятый МВФ?

Уже с прошлого года идут переговоры о кредитах. Так чего ж от нас хочет этот проклятый МВФ? Денег дадут или нет? Доллары продавать или покупать? Садитесь, заваривайте птеродактиля, сейчас я расскажу, чего надо МВФ. Конкретно и на основе инсайдов. И расскажу я вам о банках, потому что об антикоррупционных органах и их вопросах, САП, НАБУ, Татаров, вот это все, больше известно и они как-то больше на слуху. А по банкам-то претензии не менее солидные.

Не секрет, что наряду с официальными «маяками», которые являются условием для получения следующего транша, есть обеспокоенность различными «сбоями» в исполнении условий меморандума. Но в связи с тем, что они не упоминаются в официальных документах, а обсуждаются только за переговорным столом, где наши деятели их тут же забывают, может сложиться впечатление, что этих претензий и нет. А они есть.

У внимательных граждан эпопея Украина-МВФ может вызвать неожиданные вопросы. Например, «Почему если Зеленский говорит, что все требования МВФ мы выполнили, транш мы не получаем?». Разгадка проста – наши политики не владеют языком чиновников МВФ, и не учатся. Не учатся они, потому что считают, что чиновники МВФ говорят на английском языке, и если у тебя в справке написано advanced intermediate, то уже всё хорошо, можно разговаривать.

А чиновники МВФ говорят не на английском, а на дипломатическом языке. И когда они упоминают о далёком возможном беспокойстве каких-то неизвестных людей – это они не делятся сплетнями о психологическом состоянии своих знакомых (как могло бы показаться нашим экономическим дипломатам, которые все аргументы в споре слабее удара в лицо считают намёками). Это они прямо (как они думают) объясняют причины задержки финансирования. А когда они прямо говорят, что обеспокоены неким вопросом – то это опять же не рассказ о том, какой у них ранимый внутренний мир и не вопрос о том, какие таблетки принимать, чтобы не беспокоиться. Это прямое указание на уже проваленный вопрос и требование не только его решить, но и принять меры к тому, чтобы такое больше не могло повториться.

Таким образом славянская традиция приказы воспринимать как просьбы, а просьбы игнорировать сталкивается с западной дипломатической традицией угрозы подавать, как озабоченность, а претензии, как беспокойство.

Поэтому я решил снова помочь МВФ и Офису Президента и сообщить им список вопросов, из-за которых на самом деле затягивается сотрудничество, и которые МВФ неоднократно требовал решить. В то время как видным дипломатам из ОП казалось, что люди просто между болтовнёй об украинской кухне и погоде обсуждают некоторые особенности украинского национального менеджмента, а не нарезают вам задачи.

Это реальные претензии по пунктам. Каждая из них требует реакции, причем не просто заверений «больше не повторится!», а выполнения связанных с претензией структурных маяков. Чтобы и вправду не повторялось. Итак, поехали.

1. Назначение главы Укрэксимбанка Евгения Мецгера произошло с демонстративным нарушением принципов корпоративного управления под давлением политиков на членов Набсовета банка. Инициатором давления был Офис Президента Зеленского, а непосредственным исполнителем Виктория Страхова. Попытка главы Набсовета банка и номинационного комитета Стивена Фишера противодействовать давлению закончилась его мгновенным увольнением указом Кабмина. Увольнение было проведено с нарушением процедуры, так как заявления членов Набсовета Укрэксима не были предоставлены Кабмину. Похоже, что этих заявлений не было даже в Минфине и до сих пор не очень понятно, существовали ли они в принципе или всё увольнение Фишера было проведено с помощью подлога. После этого Мецгер был ожидаемо назначен.

Удачная операция по захвату Офисом Президента контроля над Набсоветом Укрэксима привела к тому, что практика запугивания и давления стала нормой, и Виктория Страхова ее продолжает активно применять уже и по отношению к другим госбанкам.

2. В процессе отбора главы Укрэксимбанка СБУ вмешивалась даже в процесс выдвижения кандидатур. Из-за письма от 04.12.19 №8/1/3-10641 за подписью Андрея Трыпилка из СБУ, иностранные кандидаты были исключены из конкурса (что было нарушением обязательств по меморандуму с МВФ).

Причиной стала якобы невозможность доступа к гостайне. Что являлось ложью, которая должна была облегчить назначение Евгения Мецгера, ведь для иностранцев доступ к гостайне вполне возможен. Об этом говорит чинний Указ Президента от 17 липня 2006 року N 621/2006 про порядок підготовки документів, щодо надання доступу до державної таємниці іноземцям та особам без громадянства.

3. Так и не были предоставлены объяснения Офиса Президента по поводу того, чем было вызвано требования к Приватбанку согласовывать подачу новых исков против старых акционеров банка с СБУ. Это требование следует из письма от 7.12.2019 №6/9118 за подписью замглавы СБУ Владимира Горбенко. Данное письмо было вручено представителям Приватбанка высокопоставленными сотрудниками Офиса Президента Зеленского.

Мемо: Глава СБУ Баканов саботировал процесс получения Национальным Антикоррупционным Бюро Украины экспертиз по делу о выводе средства из Приватбанка и является близким к бизнес-партнерам Коломойского.

4. Кроме того, МВФ недоволен отбором без конкурса (хотя конкурс и не предусмотрен законом, но, очевидно, что МВФ в будущем будет настаивать на внедрении этого требования) слишком лояльных к Кириллу Шевченко членов Правления НБУ, у которых явно отсутствует компетенция для тех направлений, на которые они были первоначально набраны. В конкурсе должны быть предусмотрены механизмы и предохранители, затрудняющие манипуляции отбором в интересах действующего Правления НБУ.

5. МВФ держит на контроле проигнорированное властями обещание (зафиксированное в меморандуме четырьмя подписями) восстановить в полном объеме членам Набсоветов госкомпаний зарплаты с июня. По факту они были возвращены только в сентябре, а отменены в начале года. Теперь эта разница в компенсации (весьма существенная для многих членов Набсоветов) используется Правительством и Офисом Президента для давления на Набсоветы госбанков (например, в вопросе закупки госбанками ОВГЗ с целью финансирования дефицита бюджета).

6. Определенное недовольство и недоумение у МВФ вызывают прямые встречи премьер-министра Шмыгаля с главами госбанков без участия Набсоветов, в том числе и по поводу выкупа ОВГЗ. Это также нарушает согласованную меморандумом реформу корпоративного управления госбанков и вообще-то является коррупцией.

7. МВФ считает нарушением согласованной корпоративной реформы назначения некоторых представителей государства в Набсоветы банков. Известно, что назначения Комитетом по финансам Верховной Рады проходили без надлежащего интервьюирования кандидатов, только лишь по сообщению в мессенджерах из Офиса Президента. Также вызывает вопросы компетентность представителей государства от Президента и Кабинета Министров. В понимании МВФ, назначаемые государством претенденты должны обладать не меньшими профессиональными характеристиками, нежели независимые члены, а госпредставителей отбирали скорее по признаку лояльности, нежели компетентности.

8. Обеспечение независимости Правления НБУ от Совета НБУ и, конкретно, Данилишина. Должна быть обеспечена невозможность вмешательства Совета в операционную деятельность Правления, что уже стало насущной проблемой. Так как Совет НБУ, по сути, является органом политического надзора за Правлением НБУ, то увеличение полномочий Совета НБУ является крайне негативным фактором с точки зрения обеспечения независимости НБУ.

9. МВФ выражает недовольство уходом большого числа профессионалов всех уровней из НБУ, в связи, с чем МВФ считает что независимость, целостность и институциональная память регулятора в значительной мере нарушена. Так примером полной потери институциональной памяти было выведение с рынка Мисто-банка, при котором было совершено много профессиональных ошибок. Текущая кадровая политика не является приемлемой, даже если вынести разрушение коллегиальности Правления НБУ за скобки.

10. Правление НБУ является коллегиальным органом, согласно закону о НБУ. Коллегиальность является институциональным способом обеспечить независимость НБУ. Позиция главы Совета НБУ Данилишина и главы Правления НБУ Шевченко о том, что глава НБУ имеет право единолично формировать свою команду и/или единолично формировать всю структуру НБУ не является приемлемой.

11. МВФ также интересен ход расследований поджогов дома и машины Валерии Гонтаревой, так как очевидно, что давление на бывшее руководство НБУ это часть давления на регулятор в целом. Аналогично МВФ до сих пор не получены объяснения от Офиса Президента, какому именно давлению и с какой целью подвергался бывший глава НБУ Яков Смолий.

12. МВФ также необходимы комментарии о ходе расследования комиссионных выплат в Укргазбанке за привлечение депозитов от госкомпаний, которые объективно воспринимаются МВФ как взятки руководителям этих госкомпаний.

Мемо: Главой Укргазбанка на тот момент был нынешний глава НБУ Кирилл Шевченко.

13. У МВФ вызывает недоумение темп расследований по делам нечистоплотных банкиров: Жеваго, Бахматюка, Лагуна, Коломойского и т.д. Есть обоснованные подозрения, что СБУ и Офис Генерального Прокурора всячески тормозят расследования в этом направлении или противодействуют подобным расследованиям проводимым силами САП\НАБУ.

Мемо: Руководство Офиса Генпрокурора полностью лояльно Владимиру Зеленскому. Глава НАБУ Артем Сытник указал, что Генеральный Прокурор Ирина Венедиктова тормозит расследование по Привату, которое находится в заключительной стадии.

14. МВФ также ожидает решительных действий от Министра юстиции для устранения неправомерных действий представителя исполнительной службы по повторному возобновлению исполнительного производства для попытки списания депозитов компаний Суркисов.

Вот весь круг вопросов, которые волнуют МВФ по поводу банков. Это не отменяет интереса к антикоррупционным делам.

Но это открывает нам глаза на то, что провалено очень много. Куда больше, чем кажется. И интерес МВФ к этой сфере связан с тем, что через банки может уйти миллиард за день. Нету другой такой сферы, которая может ну просто как песок проглотить все транши, сколько бы их там ни было. Поэтому МВФ «просто так» уже ничего не даст.

Традиционно лайк, репост в просветительских целях. Чтобы меньше слышать бреда «а вот в МВФ хотят крови христианских младенцев», люди должны знать, чего хотят на самом деле.

ENGLISH VERSION.

Negotiations on loans have been underway since last year. So what does this damn IMF want from us? Will they give us money or not?

I will now tell you what the IMF needs. Very specifically and based on insiders. And I will tell you about the banks. Somehow everybody already knows about anti-corruption institutions and their issues – SAP, NABU, Tatarov. These issues are already in the public eye. Yet, the claims against the banks are no less reliable.

It is no secret that along with the official benchmarks, which are a condition for receiving the next tranche, there is concern about various "problems" in fulfilling the terms of the memorandum. Because they are not mentioned in official documents but are only discussed at the negotiating table, where our leaders immediately forget them, one might get the impression that these claims do not exist. But they do.

For attentive citizens, the Ukraine-IMF epic can raise unexpected questions. For example, "Why if Zelensky says that we have fulfilled all the IMF requirements, we still do not receive the tranche?" The answer is simple - our politicians do not speak the IMF officials' language and don't learn to. They don't learn because they believe that the IMF officials speak English. That means your 'advanced intermediate' is enough.

Yet, the IMF officials don't just speak English – it's the diplomatic language. And when IMF officials mention the possible distant anxiety of some unknown people, they do not share gossip about the psychological state of their acquaintances (as it might seem to our economic diplomats, who consider that if the arguments in a dispute are weaker than a blow to the face, they are just hints). IMF officials directly (as they think) explain the reasons for the delay in funding. And when IMF officials now say that they are concerned about a certain issue, this is not a story about what a vulnerable inner world they have and not a question about which pills to take not to worry. This is a direct indication of an already failed issue and the requirement to solve it and take measures to ensure that this cannot happen again.

Thus, the Slavic tradition of taking orders as requests and ignoring requests clashes with the Western diplomatic tradition of presenting threats and claims as concerns.

Therefore, I decided to help the IMF and the Office of the President again and inform them of a list of issues that are actually delaying cooperation, which the IMF has repeatedly demanded to be resolved. Meanwhile, prominent diplomats from the Office of the President thought that people are just discussing some Ukrainian national management features and not giving any tasks between chatting about Ukrainian cuisine and the weather.

These are the real claims point by point. Each of them requires a response, and not just assurances like "it will not happen again!", But the implementation of structural benchmarks related to the claim. So that it does not repeat itself, let's go.

1. The appointment of Head of Ukreximbank, Eugen Metzger, occurred with a demonstrative violation of corporate governance principles, under the pressure of politicians on the members of the Bank's Supervisory Board. The pressure initiator was Zelensky's Office of the President, and the direct executor was Victoria Strakhova. An attempt by the Head of the bank's Supervisory Board and the nomination committee, Stephen Fischer, to resist the pressure ended with his immediate dismissal by the Cabinet's decree. The dismissal was carried out in violation of the procedure since the Supervisory Board's member statements were not provided to the Cabinet. It seems that these statements were not even in the Ministry of Finance, and it is still not very clear whether they existed in principle or whether Fischer's complete dismissal was carried out using forgery. After that, they appointed Metzger as expected.

The successful operation to seize control of the Supervisory Board of Ukreximbank by the Office of the President has led to the practice of intimidation and pressure becoming the norm, and Viktoria Strakhova continues to apply it to other state-owned banks actively.

2. While selecting the Head of Ukreximbank, the SSU(Security Service of Ukraine) intervened even in nominating candidates. Due to the letter dated December 4, 2019, No. 8/1/3-10641 signed by Andrey Trypilko from the SSU, foreign candidates were excluded from the competition (which is a violation of obligations under the memorandum with the IMF). The reason was the alleged impossibility of access to the state secret. That was a lie, which was supposed to facilitate Yevgeny Metzger's appointment because, for foreigners, access to state secrets is entirely possible. Such access is evidenced by the ruling Presidential Decree of April 17, 2006, N 621/2006 regarding the procedure for preparing documents for giving access to the state secret for foreigners and people without citizenship.

Memo: Head of the SBU Ivan Bakanov is a longtime friend of President Zelensky.

3. No explanations were provided by the Office of the President about what caused the requirement for Privatbank to coordinate the filing of new claims against the old shareholders of the bank with the SSU. This requirement follows from a letter dated December 7, 2019, No. 6/9118, signed by Deputy Head of the SSU Volodymyr Horbenko. This letter was presented to Privatbank representatives by high-ranking officials of the Office of President Zelensky.

Memo: Head of the SBU Bakanov sabotaged the process when the National Anti-Corruption Bureau of Ukraine was obtaining the examinations in the case of withdrawing funds from Privatbank. Bakanov is also close to Kolomoisky's business partners.

4. Besides, the IMF is dissatisfied with the appointment without any prior competition (although the competition is not provided for by law, the IMF will insist on implementing this requirement in the future). Also, the NBU Board members are too loyal to Shevchenko. The latter lack competence for those areas to which they were initially recruited. The tender should provide for mechanisms and safety instruments that make it difficult to manipulate the selection in the current NBU Board's interests.

5. The IMF keeps under control the promise ignored by the authorities (recorded in the memorandum with four signatures) to fully restore salaries to members of the Supervisory Boards of state-owned companies from June. They were returned only in September and canceled at the beginning of the year. Now this difference in compensation (very significant for many members of the Supervisory Board) is used by the Government and the Office of the President to put pressure on the Supervisory Boards of state banks (for example, in the matter of purchasing government bonds by state banks to finance the budget deficit).

6. A certain discontent and bewilderment of the IMF are caused by direct meetings of Prime Minister Shmygal with state banks' heads without any participation of the Supervisory Boards. These meetings, among others, were about the purchase of government bonds. It also violates the corporate governance reform of state banks agreed in the memorandum and is corruption.

7. The IMF considers it a violation of the agreed corporate reform to appoint some government officials to banks' Supervisory Boards. The appointments made by the Finance Committee of the Verkhovna Rada took place without proper interviewing of candidates, only as reported in messengers from the President's Office. The competence of state representatives from the President and the Cabinet of Ministers also raises questions. In the IMF's understanding, applicants appointed by the state should have no less professional characteristics than independent members. Hence, government representatives were selected based on loyalty rather than competence.

8. Ensuring the NBU(National Bank of Ukraine) Board's independence from the NBU Council and, specifically, Danylyshyn. The impossibility of interference of the Council in the Board's operational activities, which has already become an urgent problem, must be ensured. Since the NBU Council is the body of political oversight over the NBU Board, the increase in the NBU Council’s powers is an extremely negative factor from the point of view of ensuring the independence of the NBU.

9. The IMF expresses dissatisfaction with the departure of many professionals at all levels from the NBU. The IMF believes that the regulator's independence, integrity, and institutional memory has been primarily violated. Thus, an example of a complete loss of institutional memory was the withdrawal of the Misto-bank from the market, during which many professional mistakes were made. The current personnel policy is not acceptable, even if we take the destruction of the NBU Board's collegiality out of brackets.

10. The NBU Board is a collegial body under the law on the NBU. Collegiality is an institutional way to ensure the independence of the NBU. The position of Chairman of the NBU Council Danylyshyn and NBU Governor Shevchenko that they allegedly have the right to single-handedly form his team and/or single-handedly form the entire structure of the NBU is not acceptable.

11. The IMF is interested in the course of investigations into the arson of the house and car of Valeriia Gontareva. The pressure on the NBU former leader is obviously part of the pressure on the regulator as a whole. Similarly, the IMF has not yet received an explanation from the Office of the President to what pressure and for what purpose former NBU governor Yakov Smolii was subjected.

12. The IMF also needs comments on the progress of the investigation of commission payments at Ukrgazbank for attracting deposits from state-owned companies, which are objectively perceived by the IMF as bribes to the heads of those state-owned companies.

Memo: Current NBU Governor Kyrylo Shevchenko was the head of Ukrgazbank at that time.

13. The IMF is puzzled by the pace of investigations into unscrupulous bankers' cases: Zhevago, Bakhmatyuk, Lagun, Kolomoyskiy, etc. There are reasonable suspicions that the SSU and the Office of the Prosecutor General in every possible way are slowing down investigations in this direction or opposing such investigations carried out by the SAP / NABU forces.

Memo: The leadership of the Prosecutor General's Office is entirely loyal to Volodymyr Zelensky. Head of NABU, Artem Sytnyk, indicated that Prosecutor General Iryna Venedyktova is hindering the investigation of Privat, which is in the final stage.

14. The IMF also expects decisive action from the Minister of Justice to eliminate the representative of the executive service's illegal actions to reopen the enforcement proceedings to attempt to write off the deposits of Surkis companies.

Here is the whole range of issues that concern the IMF about banks. This does not change the interest in anti-corruption cases. But this opens our eyes to the fact that a lot has been failed—much more than it seems. And the IMF's interest in this area is because a billion can go through banks in a day. No other sphere can swallow all the tranches like sand, no matter how many there are. Therefore, the IMF will not give anything "just like that".
